Welcome to QMSpace LLC. These Terms and Conditions (“Terms”) govern your use of our websites (qmspace.com and aibusinessfacts.com), the free AI Visibility Audit tool, purchase of our products, and use of the A.I Business Facts Pro WordPress plugin and any related services (collectively, the “Services”). By accessing our websites, using the Audit Tool, or purchasing our products, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
1. Definitions “Plugin” refers to A.I Business Facts Pro and any associated software, updates, or documentation “Audit Tool” refers to the free AI Visibility Audit available at aibusinessfacts.com, including business audits, online business audits, and website audits “License” refers to the right to use the Plugin as granted under these Terms “You” or “Customer” refers to the individual or entity purchasing or using our Services “We,” “Us,” or “QMSpace LLC” refers to QMSpace LLC and its operators “Free Trial” refers to the complimentary trial period offered before paid subscription begins
2. Free AI Visibility Audit Tool
2.1 Audit Tool Description The Audit Tool is a free service that queries third-party AI services (including OpenAI’s ChatGPT and Google’s Gemini) about your business or website, compares their responses against publicly available data (such as Google Places listings and your website metadata), and generates a visibility score. The Audit Tool is provided free of charge and does not require a purchase or subscription.
2.2 Email Collection To use the Audit Tool, you are required to provide a valid email address. By submitting your email address, you consent to receive your audit results via email, as well as follow-up communications about our products and services. You may unsubscribe from marketing communications at any time using the unsubscribe link in any email or by contacting support@qmspace.com. Your email address may be stored in our systems for analytics and marketing purposes.
2.3 Accuracy Disclaimer Audit results, scores, and comparisons are provided for informational purposes only. The Audit Tool relies on third-party AI services whose responses may be inaccurate, incomplete, outdated, or inconsistent. QMSpace LLC does not guarantee the accuracy, reliability, or completeness of any audit results. Scores and grades are generated algorithmically and should not be treated as definitive assessments of your business’s online visibility. You should not make business decisions based solely on audit results.
2.4 Third-Party AI Services The Audit Tool queries third-party AI services to generate results. By using the Audit Tool, you acknowledge that your business name, website URL, and related information will be sent to these third-party services as part of the audit process. QMSpace LLC is not responsible for how third-party AI services process, store, or respond to these queries. The availability and accuracy of third-party AI services are outside our control.
2.5 Google reCAPTCHA This site is protected by Google reCAPTCHA to prevent spam and abuse. By using the Audit Tool, you acknowledge that Google reCAPTCHA may collect hardware and software information, such as device and application data, and send it to Google for analysis. Your use of reCAPTCHA is subject to Google’s Privacy Policy (https://policies.google.com/privacy) and Terms of Service (https://policies.google.com/terms).
2.6 Rate Limits and Abuse Prevention We reserve the right to limit, throttle, or block access to the Audit Tool at our sole discretion to prevent abuse, excessive usage, automated access, or any activity that may degrade the service for other users. We may use various methods including reCAPTCHA, IP-based rate limiting, and behavioral analysis to detect and prevent abuse.
2.7 No Guarantee of Availability The Audit Tool is provided on an “as available” basis. We may modify, suspend, or discontinue the Audit Tool at any time without notice. We are not obligated to maintain, update, or continue offering the free Audit Tool.
3. License Grant
3.1 Limited License Upon purchase and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to: Install and use the Plugin on the number of websites specified by your purchased license tier Receive updates and support for the duration of your active license
3.2 License Restrictions You may NOT: Copy, reproduce, or duplicate the Plugin code, in whole or in part, for any purpose other than creating a backup for your own licensed use Distribute, share, or transfer the Plugin to any third party Sell, resell, lease, or sublicense the Plugin or your license Modify, adapt, or create derivative works based on the Plugin for distribution Reverse engineer, decompile, or disassemble the Plugin Remove or alter any proprietary notices, labels, or marks on the Plugin Use the Plugin in any way that violates applicable laws or regulations Share your license key with others or use it on more sites than your license permits
3.3 One License Per Site Each license entitles you to use the Plugin on one (1) WordPress installation unless you have purchased a multi-site license. Using a single license on multiple sites is a violation of these Terms and may result in license termination.
4. Free Trial
4.1 Trial Period We may offer a free trial period of seven (7) days to allow you to evaluate the Plugin before committing to a paid subscription. The trial provides access to the full functionality of the Plugin during the trial period.
4.2 Automatic Conversion to Paid Subscription IMPORTANT: If you do not cancel your subscription before the free trial period ends, you will be automatically charged the applicable subscription fee for the plan you selected at sign-up. By starting a free trial, you acknowledge and agree to this automatic billing. It is your sole responsibility to cancel before the trial period expires if you do not wish to continue with a paid subscription.
4.3 Trial Revocation We reserve the right to revoke, suspend, or terminate any free trial at our sole discretion, at any time, and for any reason, including but not limited to: suspected abuse, fraud, violation of these Terms, or use of multiple accounts to obtain additional trial periods. No refunds or compensation will be provided for revoked trials.
4.4 Trial Limitations Free trials are limited to one per customer, per household, or per payment method. We may use various methods to detect and prevent trial abuse.
5. Subscription and Cancellation
5.1 Subscription Terms Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current subscription rate at renewal.
5.2 Cancellation You may cancel your subscription at any time through your customer dashboard at https://qmspace.com/customer-dashboard. Upon cancellation: Your subscription will remain active until the end of your current billing period You will not be charged for subsequent billing periods No partial refunds are provided for unused time in the current billing period Your license and access to updates will terminate at the end of the paid period
5.3 Cancellation During Free Trial To avoid being charged, you must cancel your subscription before the free trial period ends. Cancellations can be made at any time through your customer dashboard. If you cancel during the trial period, your access will continue until the trial expires, and you will not be charged.
6. Email Communications
6.1 Email Subscription By providing your email address and opting in to our mailing list, you consent to receive promotional emails, product updates, newsletters, and other communications from QMSpace LLC. You subscribe to our email communications entirely at your own risk.
6.2 Unsubscribe You may unsubscribe from marketing emails at any time by clicking the “unsubscribe” link included at the bottom of every email, or by contacting us at support@qmspace.com. Please note that even after unsubscribing from marketing emails, you may still receive transactional emails related to your account, purchases, or license status.
6.3 Data and Liability By subscribing to our emails, you acknowledge that you provide your email address and any associated data at your own risk. QMSpace LLC is not liable for any damages, losses, or consequences arising from your email subscription, including but not limited to: data breaches affecting third-party email service providers, emails being marked as spam, missed communications, or any actions taken based on information contained in our emails. You are solely responsible for maintaining the security of your email account.
7. Intellectual Property
7.1 Ownership The Plugin, including all code, design, documentation, graphics, and other materials, is the exclusive property of QMSpace LLC and is protected by copyright, trademark, and other intellectual property laws.
7.2 Copyright Protection All rights not expressly granted are reserved. The Plugin contains proprietary code that represents significant investment in development. Unauthorized copying, distribution, or use of the Plugin code is strictly prohibited and constitutes copyright infringement.
7.3 Enforcement We actively monitor for unauthorized use and distribution of our Plugin. Violations may result in: Immediate license termination without refund Legal action for copyright infringement Claims for damages and attorney’s fees
8. Payments and Billing
8.1 Pricing All prices are displayed in USD and are subject to change. Current pricing is available on our website at the time of purchase.
8.2 Payment Processing Payments are processed securely through Stripe. By making a purchase, you agree to Stripe’s terms of service. We do not store your complete credit card information.
8.3 Taxes Prices may not include applicable taxes. You are responsible for any taxes, duties, or fees imposed by your jurisdiction.
9. Refund Policy
9.1 Refund Requests Subject to Review Refund requests are evaluated on a case-by-case basis and are not guaranteed. We may consider a refund if: Request is made within 14 days of purchase You have not violated these Terms The Plugin has not been used to generate substantial business value You provide a valid reason for the refund request We reserve the right to approve or deny any refund request at our sole discretion.
9.2 Non-Refundable Items The following are not eligible for refunds: License renewals and upgrades after activation Purchases where the license key has been used Requests made after the 14-day window Requests without a valid reason Purchases where Terms have been violated Charges incurred after failure to cancel before free trial expiration
10. Installation, Updates, and Support
10.1 Installation Requirements Before installing the Plugin, you are strongly advised to create a complete backup of your WordPress website, including all files and the database. While our Plugin is designed to be stable and non-destructive, installing any new software carries inherent risks. QMSpace LLC is not responsible for any data loss, site downtime, or other issues that may occur during or after installation if you have not taken appropriate backup precautions.
10.2 Updates Your license includes access to Plugin updates for the duration of your active license. Updates may include bug fixes, security patches, and new features at our discretion. We recommend backing up your website before applying any updates.
10.3 Support We provide email support for licensed customers. Support includes installation assistance, configuration guidance, and bug reports. Support does not include customization, third-party plugin conflicts, or general WordPress support.
11. User Data and Content
11.1 Your Responsibility You are responsible for maintaining your own backups of your website and any data you enter into the Plugin. Any information, data, or content you enter into the Plugin is provided at your own discretion and risk.
11.2 No Liability for User Content QMSpace LLC is not responsible for: The accuracy, completeness, or legality of information you enter How third parties (including AI services) interpret or use your data Any consequences resulting from the publication of your business information Data loss due to user error, website issues, or third-party factors
11.3 Public Visibility You acknowledge that information entered into the Plugin may be made publicly accessible through your website, JSON endpoints, and AI services. You are solely responsible for ensuring you have the right to publish such information.
11.4 Analytics Accuracy The Plugin includes analytics features designed to track and report AI service visits, JSON requests, and related activity. While we strive to provide accurate analytics data, we do not guarantee 100% accuracy or completeness of this information. Analytics data may be affected by factors beyond our control, including but not limited to: AI services that do not identify themselves in requests Bot traffic that may be misidentified Caching systems or proxies that obscure request origins Technical limitations in detection methods Changes in how AI services access web content You acknowledge that analytics are provided on a “best efforts” basis and should be used for general informational purposes only. QMSpace LLC is not liable for any decisions made or actions taken based on analytics data, nor for any inaccuracies, omissions, or errors in reporting.
12. Disclaimer of Warranties
THE SERVICES, INCLUDING THE PLUGIN AND AUDIT TOOL, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY.
We do not warrant that the Services will meet your specific requirements, be uninterrupted, timely, secure, or error-free, that results will be accurate or reliable, or that any errors will be corrected. We do not warrant the accuracy, completeness, or reliability of analytics data, AI service detection, audit scores, or any reporting features provided by the Plugin or Audit Tool.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QMSPACE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, OR DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES, INCLUDING THE PLUGIN AND AUDIT TOOL.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless QMSpace LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney’s fees) arising from your use of the Services, your violation of these Terms, your violation of any third-party rights, or any content or data you process through the Plugin or Audit Tool.
15. License Termination
15.1 Termination by You You may terminate your license at any time by cancelling your subscription through your customer dashboard and removing the Plugin from your website(s).
15.2 Termination by Us We may terminate or suspend your license immediately, without notice, if you: Violate any provision of these Terms Engage in unauthorized copying or distribution Share your license key Use the Plugin on more sites than permitted Engage in fraudulent or illegal activity Abuse the free trial system
15.3 Effect of Termination Upon termination: Your license to use the Plugin ends immediately You must remove the Plugin from all websites You are not entitled to any refund Provisions that should survive termination will remain in effect
16. Governing Law and Disputes
These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.
17. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and QMSpace LLC regarding the Services.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms or your license without our written consent. We may assign our rights and obligations without restriction.
Modifications: We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
